Description of the business

Zenergy Power plc is a global specialist manufacturer and developer of commercial applications for superconductive materials. Comprising three operating subsidiaries located in Germany (Trithor), USA (SC Power Systems) and Australia (Australian Superconductors), Zenergy is developing a number of energy efficient applications to be adopted in renewable energy power generation, energy distribution and large scale, energy intensive industrial processes.

Karen Chandler

CFO / Executive Director – previously associate director at KPMG specializing in transaction services, experienced in AIM and LSE flotations, extensive expertise in private equity and corporate M&A, chartered accountant, holds Executive MBA, Bsc.

 

Michael Fitzgerald

Non Exec Chairman – Co-founder of Gemini Genomics and AgaMatrix, Co-founder and Chairman of Medcenter Holdings, Block Shield Corporation and Quadrant Technologies.

 

Keith Hodgkinson

Non-Executive Director – served as CEO of electrical power systems specialists Chloride Group plc from 1991 to 2008 and lead it into the FTSE 250 Index. Prior to this he held senior management positions within GEC Group for many years.

Non Exec Director – Director of NTR plc, Emscan Limited, EVO Electric Limited and Hutchison China MediTech Limited, formerly CEO of Hydrodec Group plc and Senior Executive in several other enterprises.

Corporate Governance

The Board is responsible for formulating, reviewing and approving the Company’s strategies, budgets and corporate actions. The Directors have responsibility for, and recognize the importance of implementing and maintaining, high standards of corporate governance and intend that the Company will comply with the Combined Code and the Quoted Companies Alliance’s ‘Guidance for Smaller Quoted Companies’ in such respects as are appropriate for a company of its size, nature and stage of development. The Board has established an audit committee comprising - John Voltz (Chairman of Audit Committee), Tony O’Reilly, Keith Hodgkinson and a remuneration committee comprising Tony O’Reilly (Chairman of Remuneration Committee), Michael Fitzgerald, Christopher Nash and John Voltz with formally delegated duties and responsibilities. The audit and remuneration committees will invite other members of the Board to join meetings where appropriate. The Company operates a share dealing code for Directors as required by the AIM Rules. The Board has also considered the guidance issued by the Institute of Chartered Accountants in England and Wales (commonly known as the Turnball Report) concerning the internal requirements of the Combined Code. The Board intends to regularly review key business and financial risks facing the Group in the operation of its business.

Shares

The Company's issued share capital consists of 68,941,970 ordinary shares with a nominal value of 1pence each ("Ordinary Shares"), each share having equal voting rights. The Company does not hold any Ordinary Shares in treasury and therefore the number of Ordinary Shares with voting rights is 68,941,970. Interests of shareholders in excess of 3%, are set out in ‘significant shareholders’ which is updated quarterly. In accordance with the AIM Rule 26 in so far as the Company is aware, 15,673,101 (22.7%) of the Company's issued share capital is not in public hands. This percentage comprises the holdings of Directors and a trust the beneficial owners of which are the family of Zenergy Chairman, Mr Michael Fitzgerald, but not including himself, his wife or his children.
